The Company has closed on the subscription announced on September 9, 2022 for an additional 1,000,000 units (a “Unit” or “Units”) of the Company at $0.05 per Unit for gross proceeds of $50,000, which brings the total Offering to $706,250 through the issuance of 14,125,000 Units. All securities issued pursuant to the Offering are subject to a Canadian four-month hold period from the date of issuance, and may not be resold in the United States except in compliance with applicable U.S. securities laws.
